Welcome to LemProposal (“LemProposal”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of LemProposal.com, the LemProposal web application, and all related services, features, and tools we provide (collectively, the “Service”).

By accessing or using LemProposal, you agree to be bound by these Terms. If you do not agree to them, please discontinue use of the Service immediately.

These Terms form a legally binding agreement between you and LemProposal, a product owned and operated by Pearl Lemon Group.

1. Overview of the Service

LemProposal is an AI-powered software platform that analyzes sales conversations—such as transcripts, uploaded call notes, and meeting summaries—and uses artificial intelligence to generate proposals, insights, recommendations, and related outputs to support sales professionals and teams.

The Service may include:

  • Proposal generation
  • AI-driven analysis of sales conversations
  • Confidence scoring and insights
  • Coaching recommendations
  • Integrations (Google Drive, Gmail, CRM tools, etc.)
  • Export tools (PDF, DOCX, etc.)
  • Customer support
  • Data analytics features

Your use of LemProposal is subject to these Terms and any other guidelines or policies we provide.

2. Eligibility

To use the Service, you must:

  1. Be at least 18 years old (or the age of majority in your country).
  2. Have the legal capacity to enter binding agreements.
  3. Use the Service only for lawful purposes.
  4. Agree to comply with these Terms at all times.

If you are using LemProposal on behalf of a company, organization, or team, you confirm that you have authority to bind that entity and that “you” refers to both you individually and the entity you represent.

We reserve the right to decline service to anyone for any lawful reason.

3. Creating and Managing an Account

To access most features, you must create an account.

3.1 Account Information

You must provide accurate, complete information, including:

  • Valid email address
  • Password

You are responsible for keeping your account secure. You agree to:

  • Maintain strict confidentiality over your login credentials
  • Notify us of any unauthorized use
  • Accept responsibility for all activity under your account

We are not liable for any losses arising from misuse of your credentials.

  • Free accounts with limited features
  • Pro accounts with additional advanced functionality
  • Team accounts or enterprise solutions

The specific features may change over time.

3.3 Account Termination

We may suspend or terminate your account if you:

4. Acceptable Use

You agree not to use LemProposal in ways that:

  2. Infringe on intellectual property rights
  3. Distribute harmful content, including malware or viruses
  4. Harass, defraud, or harm others
  5. Attempt to reverse-engineer, scrape, or extract AI models or data
  6. Upload or input content containing sensitive personal information such as:

    • Passwords
    • Government identification numbers
    • Health data
    • Payment card numbers

  7. Interfere with service infrastructure or testing without written permission
  8. Circumvent usage limits or access controls

We reserve the right to enforce compliance, suspend accounts, or restrict features if we detect misuse.

5. Your Content

“Your Content” refers to all data you upload, submit, or generate through LemProposal, including:

  • Sales call transcripts
  • Uploaded documents
  • Meeting notes
  • Customer information within those transcripts
  • Proposal edits
  • Account profile details

5.1 Ownership of Your Content

You retain full ownership of Your Content.

Uploading content to LemProposal does not transfer ownership to us.

5.2 License to Operate the Service

To enable the platform to function, you grant us a limited, non-exclusive, worldwide license to:

  • Process
  • Store
  • Analyze
  • Transmit
  • Display
  • Generate outputs from

Your Content solely for the purpose of providing the Service.

5.3 Use of Content for AI Training

We do not use Your Content to train AI models unless you explicitly opt-in.

By default, Your Content remains private and is used only to generate your proposals and analytics.

5.4 Responsibility for Your Content

You are responsible for ensuring Your Content:

  • Does not violate laws
  • Does not infringe rights of others
  • Does not contain malicious or harmful elements

We are not responsible for any losses caused by inaccurate, unlawful, or harmful user content.

6. AI-Generated Output

LemProposal uses artificial intelligence to generate content. While we strive for accuracy and relevance, AI outputs:

  • May contain inaccuracies
  • Should be reviewed by you before use
  • Are not guaranteed to be legally, factually, or professionally flawless

You accept full responsibility for evaluating and verifying outputs before relying on them in business communications or contracts.

We disclaim liability for decisions or actions taken based on AI-generated content.

7. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, store, and process your data.

By using LemProposal, you agree to the Privacy Policy.

8. Integrations & Third-Party Tools

Our platform may connect with third-party applications such as:

  • Google Drive
  • Gmail
  • Dropbox
  • CRMs
  • Calendar tools
  • Communication tools

If you choose to integrate such services:

  • You grant us permission to access and store relevant data
  • You acknowledge that third-party providers have their own privacy policies
  • You are responsible for reviewing their terms and risks

We are not responsible for outages, errors, or losses caused by third-party services.

9. Payments & Subscriptions

9.1 Billing

Paid plans require valid payment information. Payments are securely processed by third-party payment processors (e.g., Stripe). We do not store full card details.

9.2 Subscription Plans

Paid subscriptions may be:

  • Monthly
  • Quarterly
  • Annual

Unless otherwise stated, subscriptions automatically renew.

9.3 Refunds

LemProposal generally does not offer refunds for:

  • Partial subscription periods
  • Unused time
  • Change of mind

However, we may consider refunds on a case-by-case basis for billing errors.

9.4 Failed Payments

If payment fails, we may:

  • Suspend your account
  • Downgrade to a free plan
  • Restrict certain features

You agree to keep your billing information up to date.

10. Intellectual Property

10.1 Our Ownership

All elements of the Service—including but not limited to:

  • Software
  • Algorithms
  • AI systems
  • Branding
  • Logos
  • User interface
  • Documentation

—are owned by LemProposal and protected by copyright, trademark, and other laws.

10.2 Restrictions

You may not:

  • Copy or redistribute the Service
  • Modify or replicate internal components
  • Use automated tools to scrape or extract data
  • Attempt to access source code or AI architecture
  • Use our branding without permission

11. Service Availability & Modifications

11.1 No Guaranteed Uptime

We aim to keep LemProposal available at all times, but availability may be affected by:

  • Maintenance
  • System updates
  • Outages
  • External disruptions

We do not guarantee uninterrupted access.

11.2 Feature Changes

We may:

  • Add
  • Modify
  • Remove
  • Improve

features at any time without prior notice, especially during product advancements.

11.3 Discontinuation

We reserve the right to discontinue any part of the Service. If a paid service is permanently discontinued, we may issue partial refunds at our discretion.

12. Termination

12.1 By You

You may terminate your account at any time by contacting support or using in-app settings.

12.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Create legal or security risks
  • Abuse or misuse the Service
  • Engage in fraudulent behavior

12.3 Effects of Termination

Upon termination:

  • Your access is revoked
  • Your data may be deleted (in accordance with our Privacy Policy)
  • Outstanding fees remain payable

We are not liable for loss of data after termination.

13. Limitation of Liability

To the maximum extent permitted by law:

  1. We are not liable for indirect, incidental, or consequential damages, including:

    • Lost business
    • Lost profits
    • Lost data
    • Reputational harm
    • Business interruption

  2. Our total liability is limited to the amount you paid in the preceding 12 months for the Service.

    • AI-generated inaccuracies
    • Actions you take based on proposals or insights
    • Data breaches caused by third-party tools
    • Misuse of accounts
    • Errors arising from your content

Nothing in these Terms excludes liability where prohibited by law.

14. Disclaimers

LemProposal is provided “as is” and “as available” without warranties of any kind, including:

  • Accuracy
  • Reliability
  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

You use the Service at your own risk.

15. Indemnification

You agree to indemnify and hold harmless LemProposal, Pearl Lemon Group, and its employees, directors, and partners from any claim arising out of:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Misuse of AI-generated output
  • Infringement of third-party rights

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Kingdom unless your local laws require otherwise.
